PARTNERSHIP OPPORTUNITY AGREEMENT
Please read these Conditions thoroughly. Any sales of your supplied images conducted by Canvas Print Shop Ltd ( www.canvas-print-shop.co.uk ) are based on the understanding that these conditions are understood and accepted by you, forthwith known as the Partner. All sales of the Partner's supplied images are subject to these Partnership Opportunity Agreement conditions and your acceptance of them is expressed by completing the online application form including ticking the Partnership Opportunity Agreement Conditions box.
Applicable Law
Canvas Print Shop Ltd is registered in England , and every sale shall be deemed to be performed in England ; English law shall govern each transaction, including (without limitation) all contractual and other relationships, which arise as a result of such sales. The Partner and we submit to the non-exclusive jurisdiction of the English courts in relation to any disputes arising out of any sale.
Copyright
All copyright, design rights and intellectual property rights existing in our designs and products and in the images, text and design of this website / marketing material are and will remain the property of Canvas Print Shop Ltd. Any infringement of these rights will be pursued vigorously. Canvas Print Shop Ltd. shall not be required to print any matter, which in its opinion is or may be of an illegal, immoral or libelous nature. It is the responsibility of the Partner to ensure that all material presented for photography, printing, copying, duplicating or any other form of reproduction is free from any third party claims for breach of copyright or license. Canvas Print Shop Ltd. shall be indemnified by the Partner in respect of any claims, costs and expenses arising out of any libelous matter printed on behalf of the Partner under this agreement or any infringement of trade marks, copyright, patent or design.
We reserve the right to use any Canvas Print Shop... uploaded images and final prints/canvases for our own advertising purposes. We will not, under any circumstances, use them for resale except where an agreement exists under the terms of our Partnership Opportunity Agreement.
By using this site you agree that you are the owner or have been authorized by the owner of any images you upload, email or post to Canvas Print Shop Ltd, to make and use a reproduction onto other media using their image(s).
Security and Privacy
We know you're concerned about security and privacy. We want to reassure you that any information you give us during the application or agreement process as well as any that we know about you by other means will be well protected. We also feel it is important that you know exactly how any information you give us is used and that all information is collected lawfully and in accordance with the Data Protection Act 1998.
The privacy policy forms part of the agreement between us, and by consenting to the Partnership Opportunity Agreement, you agree to be bound by the terms and conditions of the agreement between us. You also give your consent to the way we may handle your personal data in the way stated in this policy statement. www.canvas-print-shop.co.uk will not use this data, or disclose it to any other party, either during registration or at any other time, without your express permission, given during registration or at some other time.
To provide a service that meets our customer needs, we may collect personal data relating to the popularity and usage of particular aspects of the site or related www.canvas-print-shop.co.uk sites. However this data will be used or aggregated only on an anonymous basis.
Any bank account information you provide will be processed internally and subject to our own internal security systems and not provided to any other party.
Pricing
Pricing is at the sole discretion of Canvas Print Shop Ltd and prices will be as stated on our website www.canvas-print-shop.co.uk. Our pricing policy is structured to offer our customers value for money as well as providing a fair commission to our Partner's and a reasonable operating profit for ourselves. We reserve the right to alter our prices without prior notice.
Commission
Commission will be paid at the rate of a flat fee of £15 per canvas sold by Canvas Print Shop Ltd; for all images owned by the respective Partner. The commission will be payable monthly in arrears on the 28th day of the month following the date of invoice for all transactions. The sales qualifying cut-off date will be the last day of the preceding month.
Cancellations
Our customers have cancellation rights which are protected under the EU Distance Selling Directive which can be found at http://www.opsi.gov.uk/si/si2000/20002334.htm
Under the Consumer Protection (Distance Selling) Regulations 2000 any unused product purchased through our site can be returned within 7 days from the date of receipt for a 100% refund, if in its original condition and in the original packaging. In the event of cancellations qualifying under the aforementioned regulations the Partner agrees to forego all commissions in respect of the sale.
Registration and Tracking
All Partner's will be registered with Canvas Print Shop Ltd and will be able to log in securely to our website www.canvas-print-shop.co.uk , using an allocated username and password. This will provide the Partner with the facility to track sales and commission payments.
Termination of this Agreement
Either party may terminate this agreement with immediate effect for any reason by providing written notification to the other party by letter or email. The address for Canvas Print Shop Ltd is as per the contact page on the website www.canvas-print-shop.co.uk
